Terms of Service

Welcome to Orevia ("Orevia," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Orevia platform, located at orevia.app, along with any related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms apply to Business Owners only. If you are a customer who received an SMS or email review request, please refer to our Privacy Policy for information about how your data is handled.

1Description of Service

Orevia is a reputation management platform designed for local businesses. The Service enables Business Owners to:

  • Send automated, branded review request messages to their customers via SMS and email
  • Route customers who report positive experiences to the business's Google review page
  • Collect and privately store feedback from customers who report a negative experience
  • Generate and download branded QR code assets linked to their review page
  • Monitor review request history, delivery status, and feedback from a centralized dashboard

The Service is sold as a one-time license fee per business location, valid for a term of twelve (12) months (1 year) from the date of purchase. There are no recurring or automatic subscription charges. At the end of the 12-month term, continued access requires renewal at the then-current license fee, unless otherwise agreed in writing.

2Account Registration

To access the Service, you must create an account by providing accurate, complete, and current information. You agree to:

  • Provide truthful information during registration and keep it up to date
  • Maintain the confidentiality of your account credentials
  • Accept full responsibility for all activity that occurs under your account
  • Notify us immediately at orevia.security@gmail.com if you suspect unauthorized access

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business you represent. Accounts may not be transferred to another party without our prior written consent.

3Payment Terms

One-Time Fee (12-Month License)

Access to the Service is granted upon receipt of a one-time license fee per business location, as agreed at the time of purchase. The license grants access to the Service for a period of twelve (12) months (1 year) from the date of purchase. The applicable fee is confirmed in your sales agreement or purchase receipt. To continue using the Service beyond the 12-month term, a renewal license fee applies.

No Refund Policy

All sales are final. Due to the nature of digital services and the immediate provisioning of platform access upon payment, Orevia does not offer refunds, credits, or chargebacks except where required by applicable law. Please ensure you understand the Service before completing your purchase.

Taxes

You are responsible for any applicable taxes, duties, or levies associated with your purchase. Prices displayed do not include sales tax unless explicitly stated.

Failed or Disputed Payments

If a payment is disputed or reversed without valid cause, Orevia reserves the right to suspend or terminate your account immediately and pursue recovery of any fees owed.

4Business Owner Responsibilities

As a Business Owner using the Service, you take on specific responsibilities regarding the customers whose contact information you submit to the platform.

Customer Consent

You are solely responsible for obtaining valid consent from your customers before submitting their phone numbers or email addresses to Orevia for the purpose of sending review request messages. By submitting any customer contact information, you represent and warrant that you have the legal right to contact those individuals via SMS and email under applicable law, including the Telephone Consumer Protection Act (TCPA) and the CAN-SPAM Act.

Accuracy of Information

You are responsible for ensuring that all customer contact information you submit is accurate and up to date. Orevia is not liable for messages sent to incorrect numbers or addresses based on information you provide.

Compliance with Laws

You agree to use the Service in full compliance with all applicable laws, including:

  • The Telephone Consumer Protection Act (TCPA)
  • The CAN-SPAM Act
  • All applicable state and local consumer protection laws
  • Google's review policies and guidelines
  • Any other laws governing electronic marketing communications in your jurisdiction

Google Review Policy Compliance

Orevia routes satisfied customers to your Google review page. You acknowledge that Google prohibits incentivizing, soliciting, or manipulating reviews in violation of its policies. You agree not to use the Service in any manner that violates Google's terms of service or review guidelines. Orevia bears no responsibility for any action Google may take against your business listing.

5Acceptable Use

You agree that you will not use the Service to:

  • Submit contact information for individuals who have not had a genuine business interaction with you
  • Send messages that are deceptive, harassing, unlawful, or in violation of any third party's rights
  • Attempt to manipulate, game, or artificially inflate Google review ratings through fraudulent means
  • Reverse engineer, copy, resell, or sublicense any part of the platform without written permission
  • Upload or transmit malicious code, viruses, or any content intended to disrupt the Service
  • Use the Service for any purpose other than legitimate reputation management for your own business
  • Impersonate any person, business, or entity
  • Violate any applicable local, state, national, or international law or regulation

Orevia reserves the right to suspend or terminate accounts that violate these acceptable use requirements without notice and without refund.

6SMS Messaging and Carrier Compliance

Orevia delivers SMS messages through Twilio in compliance with carrier regulations, including A2P 10DLC requirements in the United States. By using the SMS features of the Service, you acknowledge and agree that:

  • Message and data rates may apply to recipients depending on their mobile carrier plan
  • Recipients may opt out of future messages at any time by replying STOP
  • Opt-out requests are honored immediately and you may not re-submit opted-out numbers
  • Orevia controls the format and content of all outbound SMS templates for compliance purposes
  • You will not attempt to modify, circumvent, or override Orevia's message templates
  • Carrier filtering or delivery failures are outside Orevia's control and do not constitute a breach of service

7Intellectual Property

Orevia's Property

All aspects of the Orevia platform, including but not limited to the software, code, design, interface, branding, logos, trademarks, and content created by Orevia, are and remain the exclusive intellectual property of Orevia. Nothing in these Terms grants you any ownership interest in the Service.

License to Use

Subject to your compliance with these Terms and payment of the applicable fee, Orevia grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes at the registered business location.

Your Content

You retain ownership of any business information and customer data you submit to the platform. By submitting this information, you grant Orevia a limited license to use it solely for the purpose of providing the Service to you.

8Third-Party Services

The Service relies on third-party providers including Supabase (database and authentication), Twilio (SMS delivery), and Resend (email delivery). Your use of the Service is also subject to the terms and policies of these providers.

Orevia is not responsible for the availability, actions, or failures of any third-party service. Outages or limitations imposed by these providers do not constitute a breach of these Terms by Orevia.

9Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. Orevia does not warrant that the Service will be uninterrupted, error-free, or free of harmful components. Orevia makes no guarantee regarding the number of Google reviews you will receive, the improvement of your online reputation, or any specific business outcome resulting from your use of the Service.

Results from using the Service vary depending on many factors outside Orevia's control, including your customers' willingness to leave reviews, Google's algorithms, and SMS/email delivery rates. No outcome is guaranteed.

10Limitation of Liability

To the fullest extent permitted by applicable law, Orevia and its owners, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of revenue, profits, or business opportunities
  • Loss or corruption of data
  • Costs of substitute services
  • Any claims arising from your failure to obtain proper customer consent
  • Any action taken by Google, carriers, or regulators against your business
  • Damages resulting from unauthorized access to your account

In no event shall Orevia's total liability to you for any claim arising out of or related to these Terms or the Service exceed the amount you paid to Orevia in the twelve (12) months preceding the claim, or one hundred US dollars ($100), whichever is greater.

11Indemnification

You agree to indemnify, defend, and hold harmless Orevia and its owners, officers, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your failure to obtain required customer consent for SMS or email communications
  • Any violation of applicable law, including the TCPA or CAN-SPAM Act
  • Any claim by a third party arising from your use of the Service

12Termination

Termination by You

You may stop using the Service at any time. Account closure does not entitle you to a refund of any fees paid. To request account deletion, contact us at orevia.security@gmail.com.

Termination by Orevia

Orevia reserves the right to suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have:

  • Violated these Terms or any applicable law
  • Used the Service in a manner that poses legal or reputational risk to Orevia
  • Submitted fraudulent payment information or initiated an unwarranted chargeback
  • Engaged in any activity that harms other users, third parties, or the platform

Upon termination, your license to use the Service is immediately revoked. Provisions of these Terms that by their nature should survive termination will continue to apply, including Sections 4, 7, 9, 10, 11, and 13.

13Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or the Service shall first be addressed through good-faith negotiation between the parties.

If a dispute cannot be resolved through negotiation within 30 days, both parties agree to submit to binding arbitration under the rules of the American Arbitration Association (AAA), conducted in English. You waive any right to participate in a class action lawsuit or class-wide arbitration against Orevia.

14Changes to These Terms

Orevia reserves the right to update or modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you via email.

Continued use of the Service after any changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

15Miscellaneous

  • Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Orevia regarding the Service and supersede all prior agreements.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • No Waiver. Orevia's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Orevia may assign these Terms freely.
  • Independent Contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Orevia.
